By checking the box that acknowledges that you (identified as the “Client”) access our Terms of Service and purchasing one of our programs, you, the purchaser of a subscription titled "Agency Lab" / "Agency Kit" acknowledge the terms of service outlined within this document and willingly purchase entry into "Agency Lab" / "Agency Kit" to be provided with services offered by Scale Certified, 6IX Media Inc and Jura Media Inc.

You as the Client agree that you are entering into this legally binding agreement voluntarily, including the automatic renewal terms, with Scale Certified, 6IX Media Inc. and Jura Media Inc.

This includes the following terms and conditions that are mutually agreed upon:
For good and valuable consideration of seven U.S. dollars ($7) for the Agency Kit and forty-seven U.S. dollars ($47) or four hundred and seventy ($470) for the Agency Lab / Agency Lab Annual Plan, the Client has agreed to purchase a monthly or annual subscription to the "Agency Lab" / "Agency Kit"

If the "Agency Lab" / "Agency Kit" was gifted to Client, you the Client still confirm that this agreement represents a bargained-for exchange, and understand that you the Client are legally bound to this Agreement.

In exchange, Scale Certified, 6IX Media Inc. and Jura Media Inc. will provide the services
outlined in the Membership Outline below.

1. Membership Outline

A. Client agrees and understands that he/she/they is purchasing a monthly or annual subscription to
the "Agency Lab" / "Agency Kit" offering educational resources, group coaching calls and a community of Agency-focused entrepreneurs.

B. Client acknowledges that he/she/they has read the Membership Site Addendum and
conducted any additional research necessary to feel he/she/they understands what is
being provided in the "Agency Lab" / "Agency Kit" as well as what is not included. Client agrees to be bound by the terms and conditions outlined herein, as well as the general policies and
procedures that can be found in this Agreement and within the “Agency Lab.”

C. The "Agency Lab" / "Agency Kit" is not considered to be a substitute for personalized business, medical, or legal advice. The "Agency Lab" / "Agency Kit" is not designed to treat mental, emotional, or other medical conditions. If you as the Client believe you may be in
need of personalized attention, whether for your business, health or otherwise,
please seek additional assistance outside of the "Agency Lab" / "Agency Kit"

2. Pricing

D. Scale Certified, 6IX Media Inc. and/or Jura Media Inc. reserve the right to increase or
decrease the price of the "Agency Lab" / "Agency Kit" and/or edit the deliverables in the sole and absolute discretion of Scale Certified, 6IX Media Inc. and/or Jura Media Inc.

3. Confidentiality

E. You understand that you are purchasing a monthly / annual subscription to the "Agency Lab" / "Agency Kit" owned and operated by Scale Certified, 6IX Media Inc. and Jura Media Inc.

F. Following your purchase and access to the "Agency Lab" / "Agency Kit" you have been given access to various trade secrets and the personal intellectual property of Scale Certified, 6IX Media
Inc. and/or Jura Media Inc. including but not limited to materials such as verbal, written
and video learning resources and/or other information that may become available for use
through your participation in the "Agency Lab" / "Agency Kit" You understand and acknowledge that
this information is not to be openly shared with others who have not purchased a
membership to the "Agency Lab" / "Agency Kit" You agree not to share, copy or distribute any
documents or other proprietary information obtained through the "Agency Lab" / "Agency Kit" and
agree that you will be in violation of these Terms of Service if you use any of the Content
outlined as your own material, or repurposes and uses the Content in your own business
without express written permission from the "Agency Lab" / "Agency Kit"

G. Should you breach this provision and disclose confidential or proprietary information
belong to Scale Certified, 6IX Media Inc. and/or Jura Media Inc., you understand that
additional action may be taken by Scale Certified, 6IX Media Inc. and/or Jura Media Inc.
up to and including legal action.

4. Payment and Payment Plans

H. For good and valuable consideration of seven U.S. dollars ($7) for the Agency Kit and forty-seven U.S. dollars ($47) for the Agency Lab / four hundred and seventy ($470) for the Agency Lab Annual, the Client has agreed to purchase a monthly subscription / Annual to the “Agency Kit.” or "Agency Lab", in accordance with
the Auto-Renewal Terms outlined below.

I. Client understands that he/she/they are responsible for full payment each month or year,
and agrees to pay the sum requested electronically via a designated third-party payment
processor of Scale Certified, 6IX Media Inc. and/or Jura Media Inc.’s choosing, in full.

J. If Client has joined the "Agency Lab" / "Agency Kit" during a promotional period and has been
promised a trial period that is less than the amount outlined above, Client understands
that after such trial period, Client will be charged the regular retail cost, for a monthly
membership.

K. Should Client fail to make timely payments, or if additional payments are not able to be
processed, Client understands Client’s access to the "Agency Lab" / "Agency Kit" may be restricted if
payment is not made within 1 day of the date it is due. If payment is not made on the date
it is due, Scale Certified, 6IX Media Inc. and/or Jura Media Inc. will continue to attempt
to charge Client via the membership site software; if and when payment goes through,
Client will again receive full access to the membership site. If payment is not collected,
Client’s access will remain restricted, and Client will carry a balance on their account,
showing the month(s) owed. Client must bring their account completely current in order
to be granted access. If payment continues to be unsuccessful after sixty (60) days, Client
membership shall be revoked and permanently cancelled. Should Client wish to rejoin
the "Agency Lab" / "Agency Kit" after this period, they must do so at the current price membership is

being offered, which Scale Certified, 6IX Media Inc. and/or Jura Media Inc. reserve the
right to increase at any time for future launches of the "Agency Lab" / "Agency Kit"

L. Scale Certified, 6IX Media Inc. and/or Jura Media Inc. reserve the right to cancel Client’s
access to the "Agency Lab" / "Agency Kit" should they fail to make additional payments in accordance
with the Auto-Renewal Terms as outlined below. Should this occur, Client understands
that they are not entitled to a refund of funds already issued to Scale Certified, 6IX Media
Inc. and/or Jura Media Inc. for access to the "Agency Lab" / "Agency Kit"

5. Auto-Renewal Agreement

M. Client understands and agrees that continued access to the "Agency Lab" / "Agency Kit" requires
recurring monthly or annual payments that will be made by the Client on the day of the month on
which they signed up (for example: If Client signed up for the "Agency Lab" / "Agency Kit" on the 12th
of the month, they will continued to be charged on the 12th of every month thereafter) or on the 12th of the month the following year for annual plans.

N. By purchasing access to the "Agency Lab" / "Agency Kit" and agreeing to these Terms of Service,
Client understands he/she/they will be automatically charged each month or year via the same
card or manner in which the initial payment was made, for the following month or year of the
membership to the "Agency Lab" / "Agency Kit" This process will repeat each month unless and until
Client properly cancels their membership following this cancellation process.

O. If Client purchased access to the "Agency Lab" / "Agency Kit" during a period in which a free trial
period was granted, Client understands they will be automatically charged the full
monthly amount following the end of the trial period. Client will not be given any
additional notice regarding the end of the trial period. By clicking the box on the
purchase page confirming your agreement to these Terms, you also confirm you are given
your unequivocal, clear, affirmative content to your agreement with these automatic
renewal terms, the cancellation policy, and that you understand how to cancel before
your card is charged for the following month.

P. Billing Address: Client agrees to keep their billing address updated within their
membership account, and understands the "Agency Lab" / "Agency Kit" will use this address to
determinate Client’s area of residence and applicable laws that may apply to Client based
upon their area of residence. Any failure by Client to keep such address updated may
impact Scale Certified, 6IX Media Inc. and/or Jura Media Inc.’s ability to provide Client
with accurate billing updates and notices. The Client understands this, and to the fullest
extent permitted by law, acknowledges that it will be Client’s responsibility to notify
Scale Certified, 6IX Media Inc. and/or Jura Media Inc.of any changes to their billing
address, and represents that the billing addressed listed within the Membership shall be
the most updated and accurate address for Client.

Q. Cancellation Policy: If Client wishes to cancel their membership, Client must do so more
than 24 hours before the charge is scheduled to withdraw. Any requests for cancellation
made less than 24 hours before the automatic renewal is scheduled to charge Client’s
card, or made subsequent to the charge, will take effect the following month.

A. How to cancel: In order to cancel a membership, Client must send an email to
customersupport@scalecertified.com with the subject line “Membership
Cancellation,” including the Client’s name, email address, and confirmation of
request to terminate his or her membership. Client will be notified upon Scale
Certified’s receipt of email, and their membership will be subsequently cancelled. Alternatively they can complete the support form within the Portal to process their cancellation following which their cancellation will be confirmed via email.

B. As outlined above, it Client cancels their membership less than 24 hours before the
automatic renewal is scheduled to charge Client’s card, Client acknowledges and
agrees he or she will be charged for the next month or year, and the cancellation will take
effect following this. Should this occur, Client will have access to the "Agency Lab" / "Agency Kit"
for the month or year in which the Client paid, with membership terminating at the end of the
last paid month.

6. Refund Policy

R. The "Agency Lab" / "Agency Kit" offers a 14-day trial period at certain times however this does not apply unless specifically stated, after this period, Scale Certified, 6IX Media Inc. and/or Jura Media Inc. is not able to offer refunds for any reason. We do not offer refunds under any circumstance.

S. If Client is dissatisfied with their membership or otherwise unable to view it in its
entirety, they may reach out to customer support at customersupport@scalecertified.com
or may elect to Cancel via the Cancellation policy outlined above and will not be charged
for subsequent months.

T. Client further agrees and understands that changing their mind about the "Agency Lab" / "Agency Kit" failing to follow through or understand the details of the "Agency Lab" / "Agency Kit" not experiencing the results they expected or desired, or experiencing any other similar situation does not
entitle Client to a refund.

7. Technology

U. Scale Certified, 6IX Media Inc. and/or Jura Media Inc. are not responsible for any
specific technology you may need in order to adequately view and utilize the "Agency Lab" / "Agency Kit" Client’s inability to access the "Agency Lab" / "Agency Kit" due to a technology issue on Client’s
end does not quality Client for a refund, nor does it alleviate Client of their responsibility
to make monthly payments, unless or until Client’s membership is properly cancelled in
accordance with the Cancellation Policy.

8. Voluntary Participation

V. Client understands and agrees that they are voluntarily choosing to enrol in the "Agency Lab" / "Agency Kit" and are solely responsible for any outcomes or results. While Scale Certified, 6IX
Media Inc. and/or Jura Media Inc. believes in the services and that the "Agency Lab" / "Agency Kit" is
able to help many people, Client acknowledges and agrees that Scale Certified, 6IX
Media Inc. and/or Jura Media Inc. are not responsible nor liable to Client should Client
sustain any injuries, incur harm, or encounter any negative ramifications.

9. Disclaimer/ No Guarantees

W. Success is not guaranteed: By accepting the terms of this agreement, you agree and
understand that Scale Certified, 6IX Media Inc. and/or Jura Media Inc. provides
program(s) related to training only and guarantees no specific results.

X. While many of Scale Certified, 6IX Media Inc. and Jura Media Inc’s past and current
clients have experienced benefits from the content contained within the "Agency Lab" / "Agency Kit"
Scale Certified, 6IX Media Inc. and/or Jura Media Inc. cannot guarantee results from any
of the content in the "Agency Lab" / "Agency Kit"and cannot make any representations or guarantees
regarding individual results. Client will hold Scale Certified, 6IX Media Inc. and/or Jura
Media Inc. harmless if he or she does not experience the desired results.

Y. Furthermore, any facts or figures presented within the "Agency Lab" / "Agency Kit" are intended as
demonstrations and do not constitute a guarantee in any way.

Z. Client understands that all services provided by Scale Certified, 6IX Media Inc. and/or
Jura Media Inc. in connection with the "Agency Lab" / "Agency Kit" being purchased are provided on
an “as is” basis, meaning it is without any guarantees, representations, or warranties,
including but not limited to warranties relating to quality, non-infringement, fitness for a
particular purpose, merchantability or expectation or course of performance. Client is
choosing to purchase access to the "Agency Lab" / "Agency Kit" and work with Scale Certified, 6IX
Media Inc. and/or Jura Media Inc. on a purely voluntary basis and does not hold Scale
Certified, 6IX Media Inc. and/or Jura Media Inc. or the "Agency Lab" / "Agency Kit" responsible should
Client become dissatisfied with any portion of the "Agency Lab" / "Agency Kit"

AA.Client agrees that they do not have cause of action, legal remedy and are not entitled to a refund should they not achieve the results desired following their access to the “Agency Lab.”

BB.Client also agrees to hold Scale Certified, 6IX Media Inc. and/or Jura Media Inc.
harmless should any physical, emotional, or financial injury occur as a direct or indirect
result of the "Agency Lab" / "Agency Kit" The content provided by Scale Certified, 6IX Media Inc.
and/or Jura Media Inc. on its website and app, and within the "Agency Lab" / "Agency Kit" is comprised
of information that has worked for Scale Certified, 6IX Media Inc. and/or Jura Media
Inc. and other clients, and may or may not be useful to Client in their personal business
or life. Client understands Scale Certified, 6IX Media Inc. and/or Jura Media Inc. cannot
guarantee results from the “Agency Labs,” and has no expectation of a specific result that
they hold Scale Certified, 6IX Media Inc. and/or Jura Media Inc. responsible for.

CC.Earnings disclaimer: Scale Certified, 6IX Media Inc. and/or Jura Media Inc. do not make
any guarantees or assurances regarding a particular financial outcome based on use of the
"Agency Lab" / "Agency Kit" nor are Scale Certified, 6IX Media Inc. and/or Jura Media Inc.
responsible for Client earnings, or any increase or decrease in finances based upon
information within the "Agency Lab" / "Agency Kit" Any information or testimonials regarding past or
current clients’ participation in programs, or working with Scale Certified, 6IX Media
Inc. and/or Jura Media Inc. contained on Website, App or in sales materials that contain
financial information are individual, and results may vary.

10. Accuracy

DD.Although we have spent considerable time and effort in creating the products and
services offered by Scale Certified, 6IX Media Inc. and/or Jura Media Inc. and the
content provided herein, the Client understands and acknowledges that we are not
responsible nor liable for any errors, omissions or liability as a result of any loss or
damages incurred as a direct or indirect result of your use of our content or products. You
also understand there may be inadvertent typographical errors or inaccuracy.

EE.By your use of our products or services, you acknowledge and understand this
information, and agree you have chosen to use our products voluntarily. You agree that
we are not responsible for the accuracy of our products or services, or for any errors or
omissions that may occur on the site or in our products.

11. Affiliate/ Sponsorship

FF. Within the "Agency Lab" / "Agency Kit" descriptions, resources and programs may contain links to
third-party websites. While Scale Certified, 6IX Media Inc. and/or Jura Media Inc. have
used these products or services, they are not responsible nor liable should Client elect to
utilize any of these products or services, and any such decision to do so is wholly
voluntary and outside the scope of the "Agency Lab" / "Agency Kit" These are no more than a
recommendation list of products and services, which may or may not be useful to
members of the "Agency Lab" / "Agency Kit"

GG.Scale Certified, 6IX Media Inc. and/or Jura Media Inc. may have a material relationship
with any of the links products or services and may receive financial compensation should
Client elect to purchase the product or services offered.

12. Intellectual Property
HH. Only authorized users, who have duly obtained access to any programs offered by Scale Certified, 6IX Media Inc. and/or Jura Media Inc. by personally agreeing to the terms of
this agreement are permitted use and participation within such programs.

II. Client agrees and understands that Scale Certified, 6IX Media Inc. and/or Jura Media Inc.
have created numerous original, creative works in connection with the "Agency Lab" / "Agency Kit" and
agrees that Scale Certified, 6IX Media Inc. and/or Jura Media Inc. maintain all
copyrights and other intellectual property rights in all original or derivative content
associated with or included in the "Agency Lab" / "Agency Kit" whether created prior to working with
Client or specifically for Client including but not limited to: documents, charts, emails,
graphs, products, systems, processes, handouts, worksheets, copy for website or sales
pages, and any other original work created by Scale Certified, 6IX Media Inc. and/or Jura
Media Inc. Client agrees they may be granted a limited right to use selected materials in
the course of their business but understands that the original proprietary rights remains
with Scale Certified, 6IX Media Inc. and/or Jura Media Inc.

JJ. Nothing in this Agreement shall constitute a transfer of ownership of any Intellectual
Property from Scale Certified, 6IX Media Inc. and/or Jura Media Inc. to Client, nor grant
any license to use the information, other than that which is expressly provided
throughout the course of the "Agency Lab" / "Agency Kit"

KK.Clients agrees and understands that they are not to copy, repost, alter, publish, sell, assist
others in selling, manipulate, distribute, or in any way exploit any of the content or
intellectual property provided by Scale Certified, 6IX Media Inc. and/or Jura Media Inc.
or obtained through working with Scale Certified, 6IX Media Inc. and/or Jura Media Inc.,
without Scale Certified, 6IX Media Inc. and/or Jura Media Inc.’s express writes consent.
If such behaviour is discovered or suspected, Scale Certified, 6IX Media Inc. and/or Jura
Media Inc. reserves the right to immediately end Client’s participation in the "Agency Lab" / "Agency Kit" without refund, as well as access to the "Agency Lab" / "Agency Kit" or materials Client may have
purchased, without refund, and reserve the right to prosecute any actionable infringement
or misuse to the full extent of the law.

13. Indemnification

LL.In no event will Scale Certified, 6IX Media Inc. and/or Jura Media Inc. be liable to you
or any party related to you for any damages, including any indirect or consequential loss,
or any loss of profits, revenue, or loss of data or other content, or other pecuniary loss,
whether under a theory of contract, warranty, tort (including negligence) products
liability or otherwise, even if Scale Certified, 6IX Media Inc. and/or Jura Media Inc. have
been notified of the possibility of such damages.

MM.Client agrees at all times to defend, fully indemnify and hold Scale Certified, 6IX Media
Inc. and/or Jura Media Inc. and any affiliates, agents, team members or other party
associated with Scale Certified, 6IX Media Inc. and/or Jura Media Inc. harmless from
any causes of action, damages, losses, costs, expenses incurred as a result of the Client’s
use of the "Agency Lab" / "Agency Kit" as well as any third-party claims of any kind (including
attorney’s fees) arising from their actions as a direct or indirect result of Client’s
participation in the "Agency Lab" / "Agency Kit"

NN.Should Scale Certified, 6IX Media Inc. and/or Jura Media Inc. be required to defend
themselves in any action directly or indirectly involving Client, or an action where we
decide Client’s participation or assistance would benefit Scale Certified, 6IX Media Inc.
and/or Jura Media Inc.’s defence, Client agrees to participate and provide any evidence,
documents, testimony, or other information deemed useful by Scale Certified, 6IX Media
Inc. and/or Jura Media Inc., free of charge.

14. Minimum Age

OO.Scale Certified, 6IX Media Inc. and/or Jura Media Inc. programs are available only to
adults over the age of eighteen (18) years. By entering into this Agreement, purchasing a
membership, accessing and using any programs, you acknowledge that you are over
eighteen (18) years.

15. Applicable Law

1. This agreement shall be governed by and interpreted in all respects in accordance with
the laws of Canada and each party irrevocably submits to the non-exclusive jurisdiction
of the courts of Canada. The venue for any dispute shall be in Toronto, Canada.

16. Amendments

PP. This agreement may be amended or modified from time to time, as the "Agency Lab" / "Agency Kit"
membership is updated, laws or regulations change, or as desired by Scale Certified, 6IX
Media Inc. and/or Jura Media Inc. Client understands and agrees that they will abide by
the most recent version of these Terms of use, and will check back periodically as
needed.

QQ.Your continued membership in the "Agency Lab" / "Agency Kit" will serve as confirmation of your
agreement to the updated terms.
